Business ethics permeate all our activities. Our system of values, the maximum expression of which is found in the Code of Ethics, inspires the way that the company’s business and management are conducted, in compliance with the principles of fairness and transparency and taking into consideration sustainability and corporate responsibility.


Business ethics are not an optional for Italgas, but rather a basic principle underlying the way we operate, also in consideration of the strategic importance of our sector of operations and the spread of our activities throughout the country. The ethics-reputation factor, which we put before specific business needs, leads the definition of our strategic and operational decisions and represents a lever for long-term sustainable growth. Meanwhile it delivers the shareholders’ expected results, sharing the value generated with all our stakeholders, including in terms of environmental and social issues.

Adoption of the Code of Ethics and the required standards for carrying out the business activities guides the management decisions of our Board of Directors, the conduct of our human resources and relations with our suppliers.

One of the key factors in the group’s reputation is the ability to conduct our business activities with loyalty, fairness, transparency, honesty and integrity, in compliance with laws, regulations and international standards.


Code of Ethics

Our Code of Ethics, a key element in defining a good corporate governance system, represents the system of values that forms the basis of the group’s ethics culture and ensures that the business activities are conducted according to the principles of sustainability and corporate responsibility, integral parts of our company management model.

Periodically updated, the Code of Ethics also defines the guiding principles on which the entire Internal Control and Risk Management System is based.

To ensure that the ethics principles are actively implemented, we are also constantly committed to compliance activities, particularly through:

  • training, which allows our employees to understand how the rules and codes apply to their activities and conduct, and how to overcome any critical situations;
  • monitoring.


Model 231

The Code of Ethics also forms the basis for our Organisational and Control Model pursuant to Italian Legislative Decree 231/2001, which ensures the prevention of offences being committed by directors or employees to the benefit of the company.

The Model is a support tool and a central element of the Code of Ethics. It is updated periodically to maintain its compliance with the regulations we are expected to apply.



We consider corruption to be a serious threat to the development of economic and social relations and we combat it in our relations with public officials and with private parties. The fight against corruption is not only designed to avoid sanctions and repercussions on activities, but also to protect the company’s reputation. The materiality of corruption risk in relation to company activities is analysed and managed specifically in the Model 231.


Relations with suppliers

The supply chain is of strategic importance to our operating activities, and our relations with suppliers are transparent.

Suppliers are required to adopt the Model 231 and to satisfy the requirements stated in the related legislation (Italian Legislative Decree 231/2001), to adopt the principles of Italgas Code of Ethics and of the Code of Ethics of Italgas Suppliers, and to operate in compliance with regulations on occupational health and safety, environmental protection and international standards concerning the right to work. Our suppliers are also called to formally commit to respecting these general principles by signing the documents required during the qualification procedure and the tender procedure, in particular with the signing of the Code of Ethics and Integrity.
For a certain number of product categories, in procurement management we are subject to the application of procedures envisaged in the Public Works Code (Italian Legislative Decree 50/2016).
